a life sciences and diagnostics company that develops and commercializes proprietary technologies and products for advanced microarray diagnostics, today announced the closing of the second tranche (the “Second Tranche”) of a previously announced non-brokered private placement (the “Private Placement”) of 1,000,000 units (“Units”) of the Company at a price of $0.10 per Unit for gross proceeds of $100,000 to Dr. Peter Lea, founder of the Company. The sale of units is subject to regulatory and stock exchange approval. Each Unit consists of one common share and one common share purchase warrant. Each common share purchase warrant entitles the holder to purchase one common share at a price of $0.13 for a period of five years from the date of issuance.
The aggregate gross proceeds raised by the Company in connection with the completion of the previously announced first tranche (the “First Tranche”) of the Private Placement, which closed on September 25, 2019, and the Second Tranche is approximately $3.23 million, resulting from the issuance of a total of 32,300,000 Units. No commission or finder’s fee was paid by the Company in connection with the Second Tranche. “SQI’s enhanced cash position enables us to deliver on our commercialization goals” said Andrew Morris, Chief Executive Officer of SQI Diagnostics. “This financing demonstrates the continued support and dedication of our Board and of our Company founder.”
The Private Placement is subject to all necessary regulatory and stock exchange approvals. The securities issued pursuant to the Second Tranche of the Private Placement will be subject to a hold period expiring on February 23, 2020 in accordance with applicable Canadian securities law.
SQI intends to use the net proceeds of the Private Placement to fund the Company’s product commercialization and manufacturing programs, sales and marketing and for general working capital purposes.
